About these terms#
These terms apply when you hire me for a project or ongoing work, and when you use this website. I've written them in plain English and kept them as short as I can. If anything is unclear, ask me before you sign or pay.
I'm Suley Tangun, a UK sole trader working from London, England. You can reach me at info@suley-tangun.com. In these terms, "I" and "me" mean Suley Tangun, and "you" means the person or business hiring me.
These terms are written for businesses and sole traders buying services for their work. If you are buying as a consumer, your rights under UK consumer law still apply, and nothing here takes them away.
How a project starts#
Every project starts with a written quote or proposal. It lists what's included, the price and an estimated timeline. A quote is valid for 30 days.
We have an agreement when you accept the quote in writing (an email reply is fine) or pay the deposit, whichever comes first. The quote and these terms together make up the whole agreement. If they disagree, the quote wins.
Anything not listed in the quote is outside the project. If you want something added, I'll tell you what it costs and how it changes the timeline, and we agree it in writing before I start.
What I do#
I offer these services. Your quote says which of them you're buying and exactly what you get.
Web design and development, including websites, content management and e-commerce.
Graphic design and branding, including logos, brochures and marketing material.
Search engine optimisation (SEO), including audits, technical fixes and content advice.
Email marketing, including set-up, design and automation.
Social media and paid advertising marketing, including strategy and campaign set-up.
Digital marketing consulting and ongoing support.
Fees, deposits and payment#
For fixed-price projects, I ask for a 50% deposit before I start, and the balance before the finished work goes live or the final files are handed over. For hourly work, I invoice monthly in arrears. For monthly retainers, I invoice in advance.
Invoices are due within 14 days of the invoice date, by bank transfer to the account shown on the invoice. All prices are in pounds sterling. If I charge VAT, it appears separately on the invoice.
If you pay late, I can charge statutory interest and fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and I can pause work until the invoice is paid.
Website prices do not include hosting, domain names or any other third-party costs, unless the quote says so. That also covers stock images, fonts, paid plugins, software subscriptions and advertising budgets. I'll tell you before I buy anything on your behalf and invoice it at cost. Advertising budgets are paid by you directly to the platform.
Timelines#
Dates in a quote are estimates. They depend on you sending content, feedback and approvals on time. If something is late on your side, the dates move back by the same amount, and I may need to fit your project around other work. If I'm running behind, I'll tell you as soon as I know.
What I need from you#
Name one person who can give feedback and approvals for your business, and send feedback as a single combined list rather than piece by piece.
Send the text, images, logins and other material I ask for, in the formats I ask for.
Make sure you own, or have permission to use, everything you give me, including images, text, logos and music. You are responsible for claims made in your own content being true and lawful.
Keep your logins and accounts secure, and tell me straight away if you think someone else has access.
If a project stalls for more than 30 days because I'm waiting on you, I can close it and invoice the work done so far.
Revisions and sign-off#
Unless your quote says otherwise, it includes two rounds of changes at the design stage and one round on the built site. A round is one combined set of changes. Further rounds, and changes to anything you've already approved, are extra work, which I'll quote before I start.
When you approve a stage in writing, I move on to the next one. Going back to an approved stage counts as a change.
When I deliver the finished work, you have 14 days to tell me about anything that doesn't match the quote. If I hear nothing after that, the work counts as accepted.
Who owns the work#
When you've paid in full, you own the final designs, text and custom code I created for you. Until then I keep ownership, and you can use the work to review it but not to publish it.
I keep ownership of my own tools, templates, reusable code and know-how, and of anything I made before or outside your project. You get a lasting licence to use them as part of your finished work.
Third-party material, such as fonts, stock images, plugins and open-source code, stays under its own licence. Where a licence has conditions or ongoing costs, I'll point them out.
Unless you ask me in writing before launch not to, I can show the finished work and describe the project in my portfolio and marketing. I won't share anything confidential.
Hosting, accounts and maintenance after launch#
Wherever possible, domains, hosting and accounts are set up in your name so you stay in control. If anything sits in my account for a while, I'll tell you and hand it over when you ask.
Hosting, email, analytics, payment and advertising services are run by other companies under their own terms. I'm not responsible for their outages, price changes or rule changes, but I'll help you deal with them as part of any support you've bought.
For 30 days after launch, I fix anything I built that doesn't work as the quote describes, at no extra charge.
Annual maintenance
Every website I build comes with a standard maintenance fee of £150 a year, invoiced annually. It covers running costs, small updates and security patches, and it includes a monthly backup.
Anything outside that is subject to additional charges, which I'll quote before I start. That includes new features, new pages, design changes, content writing and larger updates. If the annual fee isn't paid, I stop the monthly backups and updates, and keeping the site updated and secure becomes your responsibility.
Marketing results and the law#
I can't promise search rankings, traffic, enquiries or sales. Search engines and social platforms change their rules and results on their own. I'll do the work in your quote with reasonable skill and care, and I'll report honestly on what it achieves.
Your website and campaigns must follow the laws that apply to your business, including data protection, cookies, advertising rules and consumer law. I build to good practice and will flag problems I notice, but I'm not a lawyer and nothing I say is legal advice.
Confidentiality and personal data#
Each of us will keep the other's confidential information private and use it only for the project. That does not cover information that is already public or that the law requires us to disclose.
If I handle personal data for you, for example enquiries from your website forms, I'll use it only on your instructions and keep it secure. If the project needs it, we'll agree data protection terms in writing. How this website handles your own data is covered in the Privacy Policy.
If something goes wrong#
I'll do my work with reasonable skill and care. Nothing in these terms limits any liability that the law doesn't allow me to limit, including liability for death or personal injury caused by negligence, or for fraud.
Beyond that, my total liability to you for any one project is limited to the fees you paid me for that project. I'm not liable for indirect or knock-on losses, such as lost profit, lost sales or lost data.
I'm not responsible for problems caused by things outside my control, including third-party services, changes made to the work by someone else, material you supplied, or misuse.
Cancelling or ending a project#
Either of us can end the agreement by giving written notice. If you cancel, you pay for the work done and costs committed up to that date. The deposit is not refundable, because it covers the time I've set aside for you. If the work done comes to more than the deposit, I'll invoice the difference.
I can pause or end the agreement if an invoice stays unpaid, if I can't get a response from you for 30 days, or if you ask for something I can't do lawfully. When it ends, I hand over the work that's been completed and paid for.
Events outside either of our control, such as illness, power or internet failures, or a platform going down, don't count as a breach. We'll agree new dates once the problem passes.
Problems and disputes#
If you're unhappy with something, email me early. I'll reply within five working days and work with you to put it right. If we can't agree, we'll try mediation before either of us goes to court.
These terms, and any dispute about them or the work, are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you're a consumer living in Scotland or Northern Ireland, you can also bring a claim in your local courts.
Using this website#
The information on this website is general and is not professional advice. The text, design and images are mine or used with permission, so please don't copy or scrape them without asking. Links to other sites are for convenience, and I don't control what's on them. I do my best to keep the site accurate and available, but I can't promise it will always be.
General#
I may update these terms. The version in force on the date of your quote applies to your project.
If a part of these terms can't be enforced, the rest still applies.
Only you and I can enforce this agreement. Nobody else has rights under it (Contracts (Rights of Third Parties) Act 1999).
You can't transfer the agreement to someone else without my written agreement.
Notices can be sent by email to the addresses we've been using for the project.
